The Holder acknowledges that it has prior investment experience, including investment in securities of the type being exchange, including the Securities or the Exchange Securities, and has read all of the documents furnished or made available by the Company to it and is able to evaluate the merits and risks of such an investment on its behalf, and that it recognizes the highly speculative nature of this investment.

Prior Investment Experience. PharmaBio hereby acknowledges and represents that (i) it has prior investment experience, including investment in equity securities which are non-listed, unregistered and/or not traded on the Nasdaq National or SmallCap Market, a national stock exchange nor on the NASD’s automated quotation system for actively traded stocks, or it has employed the services of an investment advisor, attorney and/or accountant to read all of the documents furnished or made available by CTI to PharmaBio and to evaluate the merits and risks of such an equity position on its behalf; (ii) it recognizes the highly speculative nature of Shares; and (iii) it is able to bear the economic risk which it hereby assumes. PharmaBio hereby represents that it, either by reason of its business or financial experience or the business or financial experience of its professional advisors, has the capacity to protect its own interests in connection with the transaction contemplated hereby.
