Prior Dedication means, as to any Interests acquired by Producer (or any of its successors or assigns under this Agreement) within the Dedicated Area, whether before or after the Effective Date, any dedication or commitment for some or all Services burdening such Interests which is in effect as of the time of any such acquisition.

• In the event any Dedicated Leases acquired in a Large Transaction that are made subject to the Dedication are subject to a Prior Dedication at the time of the closing of the Large Transaction, the provisions of this Agreement relating to Prior Dedications will apply to such Dedicated Leases.

• Upon the expiration or termination of that Prior Dedication, such additional Interests within the Dedicated Area and such Gas attributable thereto will automatically be subject to the dedication hereunder without any further actions by the Parties.

• For clarity, the Parties acknowledge and agree that if Producer or its Affiliate acquires any interest located within the Dedicated Area prior to the expiration of a Prior Dedication specified on Schedule 2.5(a), and if such interest is included within the dedication of such Prior Dedication, then such interest will be subject to such Prior Dedication, and such Prior Dedication will take priority over the Dedication hereof, until such Prior Dedication terminates.

• Within [***] days after Producer’s proposed Delivery Point notice, Gatherer shall provide Producer written notice confirming Gatherer will provide and connect all facilities necessary to provide Services for the Produced Water subject to such Prior Dedication no later than the Prior Dedication Termination Date, provided that in no event will Gatherer be obligated to connect to a Marginal Production Delivery Point.

• Subject to the remainder of this Section 2.4(a), Producer shall not extend or renew a Prior Dedication and upon the termination of such Prior Dedication, Producer’s Produced Water which is attributable to the Dedicated Interests and produced from Dedicated ▇▇▇▇▇ applicable to such Prior Dedication will automatically be included within the Dedication and such Producer’s Produced Water will be Committed Produced Water and will be subject to this Agreement without any further actions by the Parties.

• If the Subsequently Acquired Crude Oil is subject to Prior Dedication, Shipper shall give Gatherer an additional written Notice no later than thirty (30) Days preceding the expiration or termination of the term of the Prior Dedication.

• With respect to any Dedicated Raw Make that is subject to a Prior Dedication (including Raw Make attributable to Subsequently Acquired Subject Interests), Shipper shall have the right, subject to the additional terms and conditions of this Section 4.2 and Section 4.4, to comply with such Prior Dedication.

• In the event all or any portion of the Dedicated Interests is subject to a Prior Dedication, then the terms of this Agreement shall not be applicable to the interests covered thereby until such time as Producer’s Prior Dedication expires or is terminated.

Prior Dedication has the meaning set forth in Section 3.1.2.

Prior Dedication means any gathering or processing agreement or any commitment or arrangement (including any volume commitment) that would require or necessitate Dedicated Gas to be gathered on any gathering system or similar system other than the SCM GGP System or for Dedicated Gas to be processed anywhere other than at the Plant. “Processing Fee” has the meaning set forth in Section 3.1(d) of the Agreement. 6

Prior Dedication means as of the Effective Date (or as to interests hereafter acquired by Producer, as of the effective date such interests were acquired) any and all existing agreements or arrangements or rights of any third Persons (including gathering agreements, transportation agreements and any acreage dedications) that are binding on Producer or on the applicable Dedicated Acreage, Subject Lease(s) or Subject Well(s) or on any Gas produced therefrom that prohibit or restrict the rights of Shipper to deliver any Gas hereunder or transport any Gas on the Gathering System(s); provided, however, that the term Prior Dedication shall not include any agreements or arrangements, or any rights of third Persons, that were entered into or created by, through or under Producer on or after the Effective Date.
