Preliminary Amounts definition

Preliminary Amounts has the meaning set forth in Section 1.7(a).

Preliminary Amounts. Preliminary Closing Date Net Working Capital Amount," "Preliminary Deferred Maintenance Revenue Amount," Preliminary Deferred Turret Revenue Amount," "Preliminary Work-In-Process Amount," "Purchase Price", "Purchase Price Adjustment", "Resolution Period" and "Review Period" appearing in Appendix A of the Purchase Agreement are hereby deleted and the following definitions shall be inserted in Appendix A of the Purchase Agreement in the proper alphabetical order:

Examples of Preliminary Amounts in a sentence

  • The Preliminary Amounts Schedule will be based on, and consistent with, the Closing Financial Information.

  • No later than one hundred twenty (120) days following the Closing Date, the Sellers will prepare, or cause to be prepared, and will deliver to the Buyer the Closing Financial Information and the Preliminary Amounts Schedule.

  • If the Buyer and the Sellers are unable to resolve any dispute regarding the Preliminary Amounts Schedule within thirty (30) days after the Sellers’ receipt of the Notice of Dispute, or such longer period as the Buyer and the Sellers shall mutually agree in writing, such dispute shall be resolved in accordance with Section 2.07(f).

Related to Preliminary Amounts

  • Calculation Amount means the Calculation Amount as specified in § 1 of the Product and Underlying Data.

  • Negative Carry Amount shall have the meaning specified in subsection 4.10(a) of the Agreement.

  • Principal Balance Schedules Not applicable.

  • Payment Date Statement means a report prepared by the Administrator setting forth certain information relating to the Reference Pool, the Notes, the Reference Tranches and the hypothetical structure described in the Offering Memorandum, which will be in such form as is required under the Offering Memorandum and otherwise as agreed upon between the Administrator and the Indenture Trustee.
