Negative Carry Amount. For each Distribution Date related to the Revolving Period, if an Accumulation Amount shall exist at the close of business on such Distribution Date, an amount, not less than zero, equal to the product of:

Negative Carry Amount means, if there is a Funding Period, with respect to any Payment Date, the excess (if any) of (i) the product of (a) the sum of the aggregate of the Class A Noteholders’ Interest Distributable Amount and the Class B Noteholders’ Interest Distributable Amount for such Payment Date multiplied by (b) a fraction, the numerator of which is the amount on deposit in the Pre-Funding Account as of the preceding Payment Date (or, if none, the Closing Date) and the denominator of which is the Outstanding Amount on such preceding Payment Date (or, if none, the Closing Date), in each case, giving effect to all deposits, withdrawals and payments to be made on such Payment Date over (ii) the Investment Earnings on amounts in the Pre-Funding Account during the related Collection Period.

• On each Payment Date, the Servicer will instruct the Indenture Trustee to withdraw from the Negative Carry Account and deposit into the Collection Account an amount equal to the Negative Carry Amount for such Collection Period.

• If the amount on deposit in the Negative Carry Account on any Payment Date (after giving effect to the withdrawal therefrom of the Negative Carry Amount for such Payment Date) is greater than the Required Negative Carry Account Balance, the excess will be released to the Seller.

• On the Payment Date on which the Pre-Funding Period ends (or, if the Pre-Funding Period does not end on a Payment Date, on the first Payment Date following the end of the Pre-Funding Period), the Servicer shall instruct the Indenture Trustee to release to the Seller on such Payment Date all amounts remaining on deposit in the Negative Carry Account after giving effect to any withdrawals of the Negative Carry Amount on such Payment Date.

Negative Carry Amount means, with respect to any Payment Date, the difference (if positive) between (1) the product of (a) the Monthly Accrued Note Interest for such Payment Date, multiplied by (b) the Pre-Funded Percentage as of the immediately preceding Payment Date or, in the case of the first Payment Date, the Closing Date, minus (2) the Pre-Funding Account Investment Earnings for the related Collection Period (or, in the case of the first Payment Date, from the Closing Date until the close of business on October 31, 2002).

Negative Carry Amount means, for any Business Day, to the extent that any amounts are on deposit in the Excess Funding Account or the Pre-Funding Account on such Business Day, an amount equal to the excess of (x) the product of (a) the Base Rate, (b) the aggregate amount on deposit in the Excess Funding Account and the Pre-Funding Account and (c) the number of days elapsed since the previous Business Day divided by the actual number of days in such year over (y) the aggregate amount of all earnings since the previous Business Day available from the Cash Equivalents in which funds on deposit in the Excess Funding Account and the Pre-Funding Account are invested.
