Preferential Investment definition

Preferential Investment means any Investment by BorrowerUltimate Parent or any of its Subsidiaries (a) that is not offered to any other potential investors and is not a type of Investment that could be conducted as part of the ordinary course of a securities brokerage business, (b) the terms upon which such Investment is made by BorrowerUltimate Parent or such Subsidiary are not available to, and are materially more beneficial than the terms that are available to, any other potential investors with respect to a similar Investment, and (c) such terms are offered to BorrowerUltimate Parent or such Subsidiary for strategic purposes consistent with Borrower’sUltimate Parent’s or any of its Subsidiaries’ general business practices.
Preferential Investment means any Investment by Borrower or any of its Subsidiaries (a) that is not offered to any other potential investors and is not a type of Investment that could be conducted as part of the ordinary course of a securities brokerage business, (b) the terms upon which such Investment is made by Borrower or such Subsidiary are not available to, and are materially more beneficial than the terms that are available to, any other potential investors with respect to a similar Investment, and (c) such terms are offered to Borrower or such Subsidiary for strategic purposes consistent with Borrower’s general business practices.
