Predecessor Certificates definition

Predecessor Certificates. With respect to any particular Certificate, every previous Certificate of the same Class evidencing all or a portion of the same interest in the Trust Fund as that evidenced by such particular Certificate; and, for the purpose of this definition, any Certificate authenticated and delivered under Section 3.08 in lieu of a lost, destroyed or stolen Certificate (or a mutilated Certificate surrendered to the Trustee) shall be deemed to evidence the same interest in the Trust Fund as the lost, destroyed or stolen Certificate (or a mutilated Certificate surrendered to the Trustee).
Predecessor Certificates. With respect to any particular Certificate of a Class or Subclass, every previous Certificate of that Class or Subclass evidencing all or a portion of the same Principal Amount or Percentage Interest as that evidenced by such particular Certificate; and for the purpose of this definition, any Certificate authenticated and delivered under Section 5.03 in lieu of a lost, destroyed or stolen Certificate shall be deemed to evidence the same Principal Amount, notional amount or Percentage Interest, as the case may be, as the lost, destroyed or stolen Certificate.
Predecessor Certificates of any particular Certificate means every previous Certificate evidencing all or a portion of the same debt as that evidenced by such particular Certificate, and, for purposes of this definition, any Certificate registered and delivered under Section 1.5 in lieu of a mutilated, lost, destroyed, or stolen Certificate is deemed to evidence the same debt as the mutilated, lost, destroyed, or stolen Certificate.

Examples of Predecessor Certificates in a sentence

  • The provisions of this Section 5.05 are exclusive and shall preclude (to the extent lawful) all other rights and remedies with respect to the replacement or payment of Predecessor Certificates.

  • Subject to Section 5.3 herein, the Company shall pay, on each Payment Date, the Contract Adjustment Payments payable in respect of each Purchase Contract to the Person in whose name a Certificate (or one or more Predecessor Certificates) is registered at the close of business on the Record Date next preceding such Payment Date.

  • Certificates canceled by reason of an exchange or transfer pursuant to the provisions hereof are hereby defined to be Predecessor Certificates, evidencing all or a portion, as the case may be, of the same debt evidenced by the new Certificate or Certificates registered and delivered in the exchange or transfer therefor.

  • The Company shall pay, on each Payment Date, the Purchase Contract Adjustment Payments payable in respect of each Purchase Contract to the Person in whose name a Certificate (or one or more Predecessor Certificates) is registered at the close of business on the Record Date next preceding such Payment Date in such coin or currency of the United States as at the time of payment shall be legal tender for the payment of public and private debts.

  • The Company shall pay, on each Payment Date, the Contract Adjustment Payments payable in respect of each Purchase Contract to the Person in whose name a Certificate (or one or more Predecessor Certificates) is registered at the close of business on the Record Date next preceding such Payment Date.

  • COFI Certificates As specified in the Preliminary Statement.

  • Residual Certificates As specified in the Preliminary Statement.

  • Group 3 Certificates As specified in the Preliminary Statement.

  • Class A-1 Certificates All Certificates bearing the class designation of "Class A-1".

  • Group III Certificates The Group III-A Certificates.

  • REMIC I Certificates The Class R-I Certificates.

  • Class B-6 Certificates The Certificates designated as “Class B-6” on the face thereof in substantially the form attached hereto as Exhibit A.

  • Group 4 Certificates As specified in the Preliminary Statement.

  • Underlying REMIC Certificates The REMIC Certificates held in the Trust and evidencing beneficial interests in the REMIC Trust. US Bank: U.S. Bank National Association, a national banking association. ARTICLE II The Trust

  • Class A-P Certificate Any one of the Certificates designated as a Class A-P Certificate.

  • Class B-1 Certificates All Certificates bearing the class designation of "Class B-1".

  • Predecessor Notes of any particular Note means every previous Note evidencing all or a portion of the same debt as that evidenced by such particular Note; and, for the purposes of this definition, any Note authenticated and delivered under Section 306 in lieu of a mutilated, lost, destroyed or stolen Note shall be deemed to evidence the same debt as the mutilated, lost, destroyed or stolen Note.

  • Group 2 Certificate Any Class A-2 Certificate.

  • Exchangeable Certificates The Class A-S, Class B, Class C and Class PEX Certificates.

  • Class SB Certificate Any one of the Certificates designated as a Class SB Certificate. Class X Certificate: Any one of the Certificates designated as a Class X Certificate.

  • Class A-SB Certificate Any one of the Certificates with a “Class A-SB” designation on the face thereof, substantially in the form of Exhibit A-1 attached hereto, and evidencing a portion of a class of “regular interests” in REMIC III for purposes of the REMIC Provisions.

  • Class A-PO Certificate Any one of the Certificates executed by the Trustee and authenticated by the Trustee or the Authenticating Agent in substantially the form set forth in Exhibit A-PO and Exhibit C hereto.

  • Class P Certificates All Certificates bearing the class designation of "Class P".

  • Class A-2B Certificates All Certificates bearing the class designation of "Class A-2B."

  • Class B-5 Certificates The Certificates designated as “Class B-5” on the face thereof in substantially the form attached hereto as Exhibit A.
