Definition of Pre-Change in Control Termination


Pre-Change in Control Termination means a termination event described in Section 2.1(a)(ii) of the Plan.

Examples of Pre-Change in Control Termination in a sentence

Date of Termination, with respect to any Pre-Change in Control Termination shall mean the date of such termination as reasonably determined by the Company.
Notwithstanding the foregoing, the provisions of this Section 7(a) shall not apply following the Executives termination if the Executive is terminated by the Company without Cause or the Executive terminates for Good Reason or a Pre-Change in Control Termination.
Any such payment shall be paid together with the Severance Payment payable on a Pre-Change in Control Termination pursuant to Section 2.2(a)(ii) above.
The Severance Payment under this Section 2.2(a)(ii) shall be payable, subject to Section 2.5, in a lump sum on (A) in the case of a Pre-Change in Control Termination, the later of (x) the ninetieth (90th) day following the date of the Participants Separation from Service and (y) the date of the Change in Control, and (B) in the case of a Post-Change in Control Termination, the ninetieth (90th) day following the date of the Participants Separation from Service.
The Severance Payment under this Section 2.2(a)(ii) shall be payable, subject to Section 2.5, in a lump sum on (A) in the case of a Pre-Change in Control Termination, the later of (x) the ninetieth (90th) day following the date of the Participant's Separation from Service and (y) the date of the Change in Control, and (B) in the case of a Post-Change in Control Termination, the ninetieth (90th) day following the date of the Participant's Separation from Service.
