PPI TECHNOLOGY definition

PPI TECHNOLOGY means, collectively, any and all data, substances, processes, methods, materials, formulae, know-how and inventions with respect to biology-based and chemistry-based combinatorial systems for screening of compounds that bind to molecular targets, including all improvements and modifications thereof, which may be useful within the FIELD and which are developed by or on behalf of PPI during or prior to the RESEARCH TERM and which are owned by PPI or with respect to which PPI has the right to grant a license to HGS.

  • During and after the RESEARCH TERM, HGS agrees to use PPI TECHNOLOGY and PPI PATENTS only as licensed and permitted hereunder.

  • PPI shall have the sole right and responsibility for the filing, prosecution and maintenance of patents and patent applications with respect to PPI TECHNOLOGY (including any extensions or SPCs relating thereto).

Related to PPI TECHNOLOGY

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Product Technology means the Product Know-How and Product Patents.

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.
