The Parent Unaudited Financial Statements have been prepared and reviewed in accordance with Rule 10-01 of Regulation S-X promulgated under the Exchange Act.
All of Parent's and its Subsidiaries' right, title and interest in and to their respective assets are free and clear of all Liens, other than Liens disclosed in the Parent Unaudited Financial Statements (including the footnotes therein), Liens in connection with Contracts described in Section 4.09, Permitted Liens, and such Liens as could not reasonably be expected to result in a Parent Material Adverse Effect.

As set forth in Section 5 of this Agreement, the Company agrees to file with the Commission as soon as reasonably practicable, but in no event later than sixty (60) calendar days after the Issue Date, as shelf Registration Statement with respect to the sale from time to time by the Holders (or beneficial owners, in the case of shares held in street name or held by a nominee of The Depository Trust Company) of any and all Registrable Shares.
The Parent Unaudited Financial Statements comply in all material respects with applicable accounting requirements and the rules and regulations of the SEC with respect thereto.

Except as set forth in the Parent Unaudited Financial Statements, Parent has no liabilities or obligations of any nature (whether accrued, absolute, contingent or otherwise).
The Parent Financial Statements have been prepared in accordance with GAAP on a consistent basis throughout the periods indicated, and fairly present, in all material respects, the financial condition of the Parent Parties as of the respective dates they were prepared and the results of the operations of the Parent Parties for the periods indicated (subject, in the case of the Parent Unaudited Financial Statements, to normal year-end adjustments, none of which were material).
