Parent Restricted Shares definition

Parent Restricted Shares means any share of Parent Common Stock subject to vesting or forfeiture granted under the Parent Stock Plan.

Parent Restricted Shares means unvested shares of Parent Common Stock subject to restricted stock award agreements previously granted by Parent or any Subsidiary of Parent under Parent’s 2014 Amended and Restated Incentive Plan, as amended, or any other equity compensation plan or agreement, and not expired, terminated or forfeited as of the Record Date.

Parent Restricted Shares means any Parent Ordinary Shares subject to vesting, repurchase, or other lapse of restrictions granted under any Parent Share Plan.

Examples of Parent Restricted Shares in a sentence

• All New Parent Restricted Shares (and the related escrow account) that have not yet been vested (or paid, as applicable) as of the date of termination, shall be forfeited as of the date of termination.

• The Executive acknowledges that the New Parent Restricted Shares will be subject to the terms and conditions set forth in this Agreement and shall be subject to a substantial risk of forfeiture and restrictions on transferability.

• Section 4.4(d) shall apply to the Company repurchases of Common Parent Shares held by the Executive as a result of the vesting of New Parent Restricted Shares and to Company repurchases of Purchased Parent Shares.

• Without limiting the generality of the foregoing, all cash payments to the Executive for 2001 Plan Options, 2004 Plan Options and RS shall be subject to applicable withholding, and the delivery of Common Parent Shares upon vesting of New Parent Restricted Shares shall be conditioned upon the Executive's satisfaction of all applicable withholding requirements by direct payment to the Parent, withholding from cash payments otherwise due to the Executive, or a combination thereof.

• Section 4.4(d) shall apply to Company repurchases of Common Parent Shares held by the Executive as a result of the vesting of New Parent Restricted Shares and to Company repurchases of Purchased Parent Shares.

More Definitions of Parent Restricted Shares

Parent Restricted Shares means Parent Shares subject to forfeiture.
