  • For purposes of this Agreement, a “Competitor” of Company shall mean Bass Pro Shops, Gander Mountain, Sportsman’s Warehouse, The Sportsman’s Guide, Orvis, Dick’s Sporting Goods, The Sport’s Authority, Big 5 Sporting Goods, Scheels, L.L. Bean, Lands’ End, REI, or any other multi-state and/or multi-channel retailer engaged in the sale of products and/or services associated with hunting, fishing, camping, and/or casual outdoor apparel and footwear.

  • For purposes of this Agreement, Company’s competitors shall include, without limitation, Bass Pro Shops, Gander Mountain, Sportsman’s Warehouse, The Sportsman’s Guide, Orvis, Dick’s Sporting Goods, Sports Authority, Big 5 Sporting Goods, Scheels, L.L. Bean, Lands’ End, REI or any other multi-state and/or multi-channel retailer engaged in the sale of products and/or services associated with hunting, fishing, camping and/or casual outdoor apparel and footwear.

  • Either Orvis or Dealer may terminate the License, with or without cause, upon 30 days’ advance notice to the other party.

  • Any termination and revocation of the License by Orvis shall be final.

  • The Orvis Trademark Agreement grants each Dealer the non-exclusive permission to use Orvis’ trademarks (the “▇▇▇▇▇ ▇▇▇▇▇”) as part of such Dealer’s advertising.

  • If, in Orvis’ opinion, the returned Goods do not match the description of the Goods in the Order or the shortage exceeds 10%, as applicable, and the Returns Process has been followed, Orvis will (i) repay Dealer’s costs incurred in returning the non- conforming Goods and (ii) at Orvis’ option, either refund to Dealer the price paid by Dealer for the defective Goods or deliver to Dealer replacement Goods.

  • Dealer shall affix to all advertising and promotional materials that bear a Mark (i) notices in compliance with applicable trademark laws and (ii) such legend as Orvis may reasonably designate by written notice and is required or otherwise reasonably necessary to allow adequate protection of the Marks and the benefits thereof under applicable trademark laws from time to time.

  • Orvis reserves the right to adjust prices to those prevailing at the time of shipment of the Goods.

  • In connection herewith, Licensee may use the following legend in the United States: “‘ORVIS’ is a registered trademark owned by The Orvis Company, Inc.

  • Dealer acknowledges that (i) the Marks and the goodwill associated therewith are and will remain the exclusive property of Orvis, (ii) all uses of the Marks shall inure solely to the benefit of Orvis, and (iii) Dealer has no right, title or interest in any other trademarks, services marks, trade names, fictitious names or domain names belonging to Orvis.
