• You agree to promptly notify the Company of any arrangements during the Offset Period in which you earn compensation for services and to cooperate fully with the Company in determining the amount of any such reduction.

• Anything herein to the contrary notwithstanding, the Company shall have no obligation to continue to maintain during the Offset Period any plan or program solely as a result of the provisions of this Agreement.

• If, during the Offset Period, the Employee is precluded from participating in a plan or program by its terms or applicable law or if the Company elects not to maintain such plan or program, the Company shall provide the Employee with compensation the aggregate value of which is sufficient to purchase a similar benefit program.

• The Company Paid Liquidated Damages shall be payable in accordance with the Company's then effective payroll practices and at such intervals as Base Salary would have been paid if the Employee had remained in the active service of the Company; provided, however, that payments of Base Salary during the Offset Period shall be made not less frequently than monthly.

• The Class P Limited Partners shall deliver notice to the General Partner of any Class P Majority Approval of any such special allocation of items of loss or deduction in respect of the Class P Units pursuant to the immediately preceding sentence during any Class P Offset Period within one hundred fifty (150) days after the close of the applicable tax year to which such special allocation relates.

• The Class P Limited Partners may, pursuant to Section 6.1(b)(xi), be allocated, Pro Rata, up to one hundred percent (100%) of the Partnership’s (i) items of income or gain (or any portion thereof) (computed in accordance with Section 5.3(b)) attributable to any Class P Transactions and (ii) in any Class P Offset Period, offsetting items of loss or deduction (computed in accordance with Section 5.3(b)), but only, in each case, if approved by Class P Majority Approval.

• Tenant's Basic Rent due under this Lease, for any month during the Offset Period, shall be offset only after Landlord's receipt of Tenant's written notification as specified in this Paragraph.
