If Seller delivers a Dispute Notice to Buyer in which Seller disputes only a portion of the Post-Closing Claim, Seller shall specify in the Dispute Notice the amount of the Post-Closing Claim that Seller does not dispute (the "Non-Disputed Amount") and the amount of the Post-Closing Claim which Sellers disputes (the "Disputed Amount") and Buyer shall be permitted to draw on the Letter of Credit only to the extent of the Non-Disputed Amount.
