Examples of NLN Completion in a sentence

  • The Buyer shall (or shall procure that its Related Persons shall) obtain title to and assume the risk of loss for the NLN Assets immediately upon the NLN Completion, but at all times up to the NLN Completion the NLN Assets shall remain at the risk of the relevant Seller.

  • Each Seller Operator shall (or the Seller Parent shall procure that each Seller Operator shall) transfer to the Buyer or its Related Persons such contracts of employment of the Automatic Transfer Employees at Completion or the NLN Completion (as the case may be) in the manner required under the Regulations, whether or not the Regulations apply to the transactions contemplated hereunder.

  • Each Seller Operator shall (or the Seller Parent shall procure that each Seller Operator shall) and the Buyer shall (or shall procure that its Related Persons shall) agree to cooperate with the other and provide such reasonable assistance as the other may require to facilitate the migration of the Assumed Employees to the Buyer or its Related Persons upon Completion or the NLN Completion (as the case may be).

  • From Completion or the NLN Completion (as applicable), each Party shall comply with its obligations under all applicable data protection and privacy legislation in force from time to time relating to the Books and Records and, if required by applicable law, shall at their own expense enter into any document or agreement that may be necessary in any jurisdiction that relates to the transfer of any personal data.

  • At any time after Completion or the NLN Completion (as the case may be), the Seller Parties shall at the Buyer’s expense execute all such documents and do such acts and things as the Buyer may reasonably require for the purpose of vesting in the Buyer the full legal and beneficial title to the Assets and giving to the Buyer the full benefit of this agreement.

  • For this analysis, county-level crash frequencies have been combined with estimates of motor vehicle travel to develop crash rates for CAAG region counties.

  • The Buyer shall discharge and hereby undertakes to indemnify each Seller Operator against all liabilities, obligations, costs, claims and demands (including reasonable legal expenses) arising from or in respect of any of the Assumed Employees in respect of the period on or after Completion or the NLN Completion (as the case may be).

  • The terms of this agreement shall insofar as they are not performed at Completion or the NLN Completion (as the case may be) and subject as specifically otherwise provided in this agreement continue in force after and notwithstanding Completion or the NLN Completion (as the case may be).

  • Subject to clause 6.3, each Seller Party undertakes to the Buyer, to the extent it is within its power to do so, to use all reasonable endeavours to comply with each of the undertakings set out in Schedule 8 from the Completion Date until the NLN Completion.

Related to NLN Completion

  • Testson Completion means the tests which are specified in the Contractor agreed by both Parties or instructed as a Variation, and which are carried out under Clause 9 [Tests on Completion] before the Works or a Section (as the case may be) are taken over by the Procuring Entity.

  • Construction Completion means physical construction of a cleanup action component is complete.

  • Project Completion means completion of the Redevelopment in accordance with this Agreement to the state where the whole of the Morley Shopping Centre, as so redeveloped, is capable of occupation for its intended purpose;

  • Construction Completion Date means the date by which the overall development of the Project is completed in accordance with the provisions of this Agreement and when the Construction Completion Certificate is issued by the Independent Engineer as per Article 14.1.

  • project completion period means the period of sixty (60) months commencing from and expiring on for the construction and obtaining of Temporary Occupation Permit or Permits for the whole of the Development as provided in clause 3.3;

  • Mechanical Completion means that (a) all components and systems of the Project have been properly constructed, installed and functionally tested according to EPC Contract requirements in a safe and prudent manner that does not void any equipment or system warranties or violate any permits, approvals or Laws; (b) the Project is ready for testing and commissioning, as applicable; (c) Seller has provided written acceptance to the EPC Contractor of mechanical completion as that term is specifically defined in the EPC Contract.

  • Time of Completion means the time for completing the execution of and passing the Tests on Completion of the Works of any section or part thereof as stated in the Contract (or as extended under Clause...) calculated from the Commencement Date

  • Completion Date means the date of completion of the Services by the Service Provider as certified by the Procuring Entity

  • Target Completion Date has the meaning given such term in Section 3.3(b).

  • Virtual Completion means the premise is in the opinion of the Employer fit for occupation.

  • Phase 1 means the first implementation phase of this section, beginning June 1, 2018 and ending May 31, 2022.

  • Tests after Completion means the tests (if any) which are specified in the Contract and which are carried out in accordance with the Specification after the Works or a Section (as the case may be) are taken over by the Procuring Entity.

  • Practical Completion means that stage in the execution of a Named Project when the Works have been completed in accordance with the terms of the relevant Building Contract and/or the terms of this Agreement such that the AHP Dwellings comprised within the Named Project are fit for beneficial occupation as a residential development in accordance with applicable NHBC or equivalent requirements current at the date of inspection subject only to the existence of minor defects and/or minor omissions at the time of inspection which are capable of being made good or carried out without materially interfering with the beneficial use and enjoyment of the Named Project and which would be reasonable to include in a snagging list, and Practically Complete shall be construed accordingly; Process has the meaning ascribed to it in the DPA; Procurement Law means (as the case may be):

  • Phase 2 means the second implementation phase of this section, beginning June 1, 2022 and continuing thereafter.

  • Substantial Completion Date means the date on which Substantial Completion occurs.

  • Project Completion Schedule means the progressive Project Milestones set forth in Schedule-J for completion of the Project Highway on or before the Scheduled Completion Date;

  • Final Completion Date means the date on which Final Completion occurs.

  • Improvement completion assurance means a surety bond, letter of credit,

  • Date of Completion with respect to a Project shall mean: (i) the date upon which such Project and all components thereof have been acquired or constructed and are capable of performing the functions for which they were intended, as evidenced by an Engineers’ Certificate filed with the Trustee and the Issuer; or (ii) the date on which the Issuer determines, upon the recommendation of or in consultation with the Consulting Engineer, that it cannot complete such Project in a sound and economical manner within a reasonable period of time as evidenced by an Engineers’ Certificate filed with the Trustee and the Issuer; provided that in each case such certificate of the Consulting Engineer shall set forth the amount of all Costs of such Project which have theretofore been incurred, but which on the Date of Completion is or will be unpaid or unreimbursed.
