If the Net Worth Adjustment is a negative amount, Seller will refund to Buyer the Net Worth Adjustment (treated as a positive amount) from the Holdback Amount (which Buyer may retain, to the extent necessary to pay the Net Worth Adjustment) and, if necessary, also by the wire transfer of immediately available funds to an account designated in writing by Buyer (or a combination of both).
Borrower and its Restricted Subsidiaries shall maintain at all times a Consolidated Tangible Net Worth of not less than the $56,000,000, plus, or minus, as the case may be, the Net Worth Adjustment Amount.
Any post-closing payment or refund (as the case may be) provided for under this Section 3.2(c) will be made not more than three business (3) days after the Net Worth Adjustment becomes final, as contemplated by Section 3.2(b) hereof.
