On a Research Program-by-Research Program basis, during the Research Term for a Research Program, Morphic hereby grants to ▇▇▇▇▇▇▇ a royalty-free, non-exclusive, worldwide license, with the right to sublicense through multiple tiers (subject to the provisions of Section 7.1.3 (Right to Sublicense)), under the Morphic Technology solely to perform the ▇▇▇▇▇▇▇ Research Activities as set forth under and in accordance with the Research Plan for such Research Program.
Morphic will be solely responsible for all, and will satisfy, all financial and other obligations, including royalties, due from Morphic to any Third Parties pursuant to any agreement to which Morphic is a party as of the Effective Date and pursuant to which Morphic Controls any aspect of the Morphic Technology or the Morphic Platform or any Compound, including the CMCC License Agreement.
In addition to transferring copies of Morphic Know-How in accordance with this Section 5.1 (Technology Transfer), Morphic will make its personnel reasonably available to ▇▇▇▇▇▇▇ so as to enable ▇▇▇▇▇▇▇ to practice under the Morphic Technology in connection with its performance of the ▇▇▇▇▇▇▇ Research Activities and the Exploitation of such Compounds and Products.
Morphic desires to grant to ▇▇▇▇▇▇▇, and ▇▇▇▇▇▇▇ desires to receive from Morphic, certain licenses and rights under the Morphic Technology to discover and exploit such small molecule compounds discovered in the course of such collaboration.
