Method of Exercise. Prior to an "initial public offering" of Xxxxxxx or any subsidiary company, cash only; provided, however, the Board of Directors or Compensation Committee of the Company may authorize cashless exercises. An option may only be exercised with respect to whole Equity Units (i.e., as to all the shares of common stock and preferred stock covered by the Equity Unit).
Method of Exercise. You may exercise the Option by giving written notice to the Company or it's agent, in form and substance satisfactory to the Company, which will state the election to exercise the Option and the number of shares of Common Stock for which you are exercising the Option. The written notice must be accompanied by full payment of the exercise price for the number of shares of Common Stock you are purchasing or notice of your intent to exercise and sell your shares.

Method of Exercise. PAYMENT: ISSUANCE OF NEW WARRANT. This Warrant may be exercised by the holder hereof, in whole or in part and from time to time, by either of the following, at the election of the holder hereof: (a) the surrender of this Warrant (with the Notice of Exercise form attached hereto as Exhibit A-l duly executed) at the principal office of the Company and by the payment to the Company, by cash, check or cancellation of indebtedness, of an amount equal to the Exercise Price per share multiplied by the number of Shares then being purchased; or (b) if in connection with a sale of Shares pursuant to a registered public offering of the Company's securities, the surrender of this Warrant (with the Notice of Exercise form attached hereto as Exhibit A-2 duly executed), which surrender may be made contingent upon the closing of such offering, at the principal office of the Company together with notice of arrangements reasonably satisfactory to the Company for payment to the Company from the proceeds of the sale of shares to be sold by the holder in such public offering of an amount equal to the Exercise Price per share multiplied by the number of Shares then being purchased. The person or persons in whose name(s) any certificate(s) representing Shares shall be issuable upon exercise of this Warrant shall be deemed to have become the holder(s) of record of, and shall be treated for all purposes as the record holder(s) of, the Shares represented thereby (and such Shares shall be deemed to have been issued) immediately prior to the close of business on the date or dates upon which this Warrant is exercised. In the event of any exercise of this Warrant, certificates for the Shares so purchased shall be delivered to the holder hereof as soon as possible and in any event within fifteen (15) days of receipt of such notice and, unless this Warrant has been fully exercised or expired, a new Warrant representing the portion of the Shares, if any, with respect to which this Warrant shall not then have been exercised shall also be issued to the holder hereof as soon as possible thereafter.
Method of Exercise. The Options granted under this Agreement shall be exercisable by a written notice to the Secretary of the Corporation which shall:

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Cashless Exercise means a Cashless Exercise as defined in Section 6.3(b)(i).

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Notice of Exercise means a notice in writing addressed to the Company at its address first recited, which notice shall specify therein the number of Optioned Shares in respect of which the Option is being exercised;

  • SAR Exercise Price means the per share exercise price of a SAR granted to a Grantee under Section 9 hereof.

  • Option Exercise Period has the meaning set forth in Section 5.3(c).

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Warrant Exercise Price means $0.04 per share.
