Management Offer definition

Management Offer means a bona fide offer made to, or by, an Owner by, or to, a Person who or which is not an Affiliate of such Owner proposing to manage one or more existing or proposed Covered Facilities in the Genesis Market which are Financed by the REIT (whether individually or together with one or more other Covered Facilities or any other properties or assets).
Management Offer has the meaning assigned to such term in Section 3.6(a).
Management Offer shall have the meaning given to it in Section 5.2(e).

Examples of Management Offer in a sentence

  • The REIT shall use reasonable business efforts to cause the Owner to enter into a management agreement with Genesis or a Genesis Affiliate, or, if applicable, to permit Genesis to manage the Covered Facility upon the same terms and conditions as set forth in any Management Offer.

  • If the Management Company receives and fails to accept a Management Offer from the Company provided in accordance with the terms of this Section 5(c), it shall not be entitled to receive the Severance Payment or any other payment or benefit of any kind from the Company.

  • Before accepting a Management Offer, such Management Stockholder shall first offer in writing (the "MANAGEMENT STOCKHOLDER'S Offer") to sell the Management Offered Stock to the other Management Stockholders (the "OTHER MANAGEMENT STOCKHOLDERS") at the price and on the terms on which such selling Management Stockholder proposes to transfer the Management Offered Stock to the proposed third party transferee.

  • Enhance Client Relationship Management: Offer tools for maintaining detailed client profiles, sending automated appointment reminders, and personalizing services based on client history and preferences.

  • Each of the Management Offer Letters shall be in full force and effect.

  • If such Transfer of such Block of Shares or Qualified Sale of the Company, as applicable, is not consummated within 210 days after the delivery of the Management Offer, ▇▇▇▇▇▇ shall have to deliver another Management Offer Notice under this Section 6(b) prior to any subsequent Transfer of a Block of Shares pursuant to Section 3(b)(xiii) or Qualified Sale of the Company, as applicable.
