Client will not have the right to re-license, sublicense or sell rights to access and/or use the LMS System.

Without prejudice to its other rights, Wisetail reserves the right to suspend or terminate this Agreement and/or Client’s access to the LMS System and Services if Client does not pay amounts when due hereunder.
Client is not granted the right to, and will not: (a) modify, disassemble, decompile or reverse engineer any portion of the LMS System nor authorize any third party to do so; or (b) copy any portion of the LMS System.
