Listing Documents definition

Listing Documents has the meaning given to is in subclause 6.1(a);
Listing Documents means the Prospectus, the Formal Notice and the press announcements to be issued by PLC and the Company on publication of the Schemes Document and on publication of the Prospectus;
Listing Documents means the Listing Particulars, the Formal Notice, the press announcement issued by the Company dated 16 October 2002, any Supplementary Listing Particulars and any amendments or supplements to any such documents;

  • Notwithstanding the foregoing, MPI will have the right to amend or replace the information and material provided on the Web Site, including application forms, Listing Documents and fees payable under this Agreement without the consent of the Applicant.

  • Upon receipt, MPI will review the Listing Documents and, if in order, MPI will include a description of that MPI Approved Product (the “Approved Product Description”) in the next printed edition of the MPI Approved Products List and, within a reasonable time after the approval date, will include that Approved Product Description in the Digital Form of the MPI Approved Products List.

  • The foregoing obligations in this clause shall not apply in relation to any of the Newco Belgian Merger Documents, the Belgian Merger US Documents, the Newco Response Memorandum and/or the AB InBev Listing Documents to the extent such documents are to be dealt with pursuant to Schedule 3.

  • Acquiror and DeFi will fully cooperate in the compilation and drafting of the Exchange Listing Documents, to be submitted by Acquiror to the Exchange to list the Resulting Issuer Shares on the Exchange upon completion of the Proposed Transaction.


More Definitions of Listing Documents

Listing Documents means any documentation required to be submitted in respect of the Company to the NASDAQ or any other stock exchange. Losses means any and all Expenses, damages, losses, liabilities, judgments, fines, penalties (whether civil, criminal or other), ERISA excise taxes, amounts paid or payable in settlement, including any interest, assessments and all other charges paid or payable in connection with investigating, defending, being a witness in or participating in (including on appeal), or preparing to defend, be a witness or participate in, any Claim. Related to Listing Documents

  • Operating Documents are, for any Person, such Person’s formation documents, as certified by the Secretary of State (or equivalent agency) of such Person’s jurisdiction of organization on a date that is no earlier than thirty (30) days prior to the Effective Date, and, (a) if such Person is a corporation, its bylaws in current form, (b) if such Person is a limited liability company, its limited liability company agreement (or similar agreement), and (c) if such Person is a partnership, its partnership agreement (or similar agreement), each of the foregoing with all current amendments or modifications thereto.

  • Constating Documents means, with respect to any Person, its articles and/or certificate of incorporation, amendment, amalgamation or continuance, memorandum of association, charter, by-laws, declaration of trust and other constating documents (in the case of a trust), partnership agreement, limited liability company agreement or other similar document, and all unanimous shareholder agreements, other shareholder agreements, voting trust agreements and similar arrangements applicable to the Person’s Equity Interests, all as in effect from time to time.

  • Bidding Documents means all documents provided to the interested bidders to facilitate them in preparation of their bids in uniform manner;

  • Supporting Documents means all documents and information reasonably requested by the Bank in connection with the opening and operation of any Account, the execution of any Transaction and the provision of any Related Service, including:

  • Underlying Documents means, together, the Contracts, the Refund Guarantees, the Supervision Agreements and the Management Agreements and “Underlying Document” means any of them.
