Kobex Shareholders means, the holders of Kobex Common Shares immediately prior to the Effective Time;

  • The IMA Common Shares to be issued in connection with the Arrangements to Kobex Shareholders and Barytex Shareholders will not bear any 1933 Act restrictive legend, other than as may be required for IMA Common Shares held by persons who are “affiliates” of IMA within 90 days of the Effective Time.
