Tenant represents, warrants and covenants to Landlord that during the term of this Lease Tenant will cause the Premises at all times to be and remain in compliance with all environmental laws except any portion of the Joint Use Area where Landlord or its employees, agents, contractors or invitees has caused any environmental issues.
Any governmental charges or surcharges or other monetary obligations imposed relative to parking rights with respect to the Building shall be considered assessments and shall be payable by Tenant as set forth in Section 5.1. Notwithstanding the foregoing, Landlord shall be liable for any damage caused by its negligent use of the Joint Use Area.
Until such termination Tenant shall be entitled to the rent due thereunder and such Joint Use Area Lease shall be considered a valid sublease, subject to the terms of this Lease.
This Agreement shall be binding upon and inure to the benefit of the representatives, agents, successors, assigns and interests of the Parties as to any or all of the Joint Use Area, until released by the mutual consent of the Parties.
Parking areas shall be utilized in a reasonable manner to allow for the efficient joint use of the Joint Use Area as contemplated by Section 1.4 above.
Additionally, Digital Knight has the right to remove any User Content that breaches these Terms or is otherwise objectionable in Digital Knight 's sole discretion.
Landlord reserves the right to direct the Tenant to terminate the Lease Agreement dated April 29, 2009 between it and the City of St. Louis Park with respect to the Joint Use Area (the “Joint Use Area Lease”) in accordance with the termination provisions set forth therein.
In addition, during the continuance of a default by the YMCA, and provided the YMCA has not cured such default within the time periods provided herein, the YMCA shall have no further right to use the Joint Use Area or otherwise use any of the facilities located within the YMCA Building.
Recognition should also be given to the idea that there will be specific times with respect to the Joint Use Area for YMCA program usage only, other specified times for District 625 usage only, and the potential for shared same time usage by both parties.
The YMCA shall keep the interior of both the Leased Building Area and the Joint Use Area in good order and repair, reasonable wear and tear, and damages, accidental fire, or other casualty excepted.
