Joining Parties means A&P Consulting Transportation Engineers, Corp. (“A&P”), Allegiance Crane & Equipment, LLC (“Allegiance”), Barnhart Crane and Rigging, Co. (“Barnhart”), Barsplice Products, Inc. (“Barsplice”), Beton Consulting Engineers, LLC (“Beton”), Brandsafway Services, LLC f/k/a Safway Services, LLC (“Brandsafway”), Bridge Diagnostics, Inc. Notwithstanding anything herein to the contrary, none of the following is a "Joining Party": Hartford Casualty Insurance Company, as insurer for RC Group, Travelers Surety (as defined in the Second Settlement Agreement) and each of the Non-Settling Defendants.

Examples of Joining Parties in a sentence

  • As of the Effective Date, all covenants and agreements in the Loan Documents and the Contribution Agreement of the Subsidiary Guarantors apply to the Joining Parties and no Default or Event of Default shall exist or might exist upon the Effective Date in the event that any of the Joining Parties becomes a Subsidiary Guarantor.

  • The Consortium has passed the necessary resolution to accept the Joining Parties becoming Members of the Consortium and party to the Constitution.

Related to Joining Parties

  • Selling Parties shall have the meaning specified in the preamble.

  • Contracting Parties has the meaning set forth in Section 9.14.

  • Releasing Parties means Plaintiffs and all Settlement Class Members, and each of their respective executors, representatives, heirs, predecessors, assigns, beneficiaries, successors, bankruptcy trustees, guardians, joint tenants, tenants in common, tenants by entireties, agents, attorneys, and all those who claim through them or on their behalf.

  • Initial Guarantors shall have the meaning set forth in the preamble.

  • Settling Parties means the Defendants and the Class Representatives, on behalf of themselves, the Plan, and each of the Class Members.

  • Financing Parties means Parties financing the Project, pursuant to Financing Documents.

  • States Parties means the States Parties to the Convention;

  • Parties has the meaning set forth in the Preamble.

  • Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.

  • Investor Parties has the meaning set forth in the Preamble.

  • Principal’s Representative means the person nominated by the Principal or other person from time to time appointed in writing by the Principal to act as the Principal’s Representative for the purposes of the Contract.

  • Warrantors means the Founders, the Founder Holdcos and the Group Companies.

  • Additional Guarantors shall have the meaning assigned to such term in the Preamble hereof.

  • Original Guarantors shall have the meaning assigned to such term in the Preamble hereof.

  • Releasing Party has the meaning set forth in Section 7.9.

  • Plaintiffs’ Releasees means Lead Plaintiffs, all other plaintiffs in the Action, their respective attorneys, and all other Settlement Class Members, and their respective current and former officers, directors, agents, parents, affiliates, subsidiaries, successors, predecessors, assigns, assignees, employees, and attorneys, in their capacities as such.

  • Covered Parties has the meaning set forth in Section 6.7(a).
