IT Platform Customizations definition

IT Platform Customizations means Software with respect to which the Intellectual Property Right are owned by or purported to be owned by Seller or its Affiliates that (i) interoperates with the Software platforms licensed to Seller or the Plastics Business Subsidiaries by third parties (including ▇▇▇▇▇▇▇▇▇▇.▇▇▇, Inc. and Software AG USA, Inc.) as of the Agreement Date and (ii) that is used in the operation of the Plastics Business as of the Agreement Date. For the avoidance of doubt, the Software known as “neXprice” is an IT Platform Customization.
