Insurance Opinion definition

Insurance Opinion means the tax opinion of Ernst & Young LLP dated October 3, 2000, referred to in the Insurance Commitments.
Insurance Opinion dated December 3, 2020, delivered by Xxxxx-XxXxxx, LLC with respect to the insurance policies covering Holding, the Borrower and their Subsidiaries, including all exhibits, appendices and any other attachments thereto, in form and substance reasonably satisfactory to the Administrative Agent. (s) Substantially simultaneously with the Borrowing of the Term Loans, the Closing Date Refinancing shall be consummated and the Administrative Agent shall have received an executed payoff letter in form and substance satisfactory to it with respect thereto; ARTICLE V.
