Initial Utilisation Request definition
Initial Utilisation Request means the Utilisation Request made in respect of the first Utilisation of the Facility.
Initial Utilisation Request means the Utilisation Request in the agreed form relating to the Utilisations to be made on the Closing Date. Insolvency Event in relation to an entity means that the entity:
Initial Utilisation Request means the utilisation request to be delivered and completed by Pointer HoldCo prior to the Closing Date pursuant to Clause 4.1 below requesting the Utilisation of each of the Term Loan Facilities, substantially in the relevant form set out in Schedule 1 (Form of Initial Utilisation Request) (or in such other form as may be agreed by the Lender).
More Definitions of Initial Utilisation Request
Initial Utilisation Request means the Utilisation Request made in respect of the first Utilisation of the Facility. Insolvency Proceeding means a case or proceeding seeking a judgment of, or arrangement for, insolvency, bankruptcy, composition, rehabilitation, reorganisation, administration, winding-up, liquidation or other similar relief with respect to a Party or its debts or assets, or seeking the appointment of a trustee, receiver, liquidator, conservator, custodian or other similar official of a Party or any substantial part of its assets, under any bankruptcy, insolvency or other similar law or any banking, insurance or similar law governing the operation of a Party and any analogous proceeding in any jurisdiction to which a Party is subject. Interest Period means, in relation to a Loan, each period determined in accordance with Clause 9.2 (Interest Periods) and in relation to an Unpaid Sum, each period determined in accordance with Clause 10 (Default Interest).
Initial Utilisation Request means the utilisation request to be delivered and completed by Pointer HoldCo prior to the Refinance Closing Date pursuant to Clause4.1 below requesting the Utilisation of each of the Term Loan Facilities, substantially in the relevant form set out in Schedule 1 (Form of Initial Utilisation Request) (or in such other form as may be agreed by the Lender).
Initial Utilisation Request has the meaning given to that term in Clause 4.2 (Conditions Subsequent).
