Ingenious Group definition

Ingenious Group means Ingenious, its subsidiaries and holding companies and the subsidiary undertakings of such holding companies from time to time, all of them and each of them as the context admits;

  • The Manager and any relevant associates of the Manager will seek in their absolute discretion to ensure that any suitable projects are allocated fairly between such other clients of the Ingenious Group in accordance with the conflicts policies of the Ingenious Group from time to time and without prejudice to the Manager’s obligations to the investor.

  • CONFLICTS POLICY The Manager may, on behalf of an investor, approve an investment in a Portfolio Company in which members or clients of the Ingenious Group have a commercial interest.

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).
