Imported Product definition

Imported Product means Product which has been Issued to the Public by the Licensee under the terms of this Agreement.
Imported Product means a Product for which Telemig Celular is identified as the importer of record.

Examples of Imported Product in a sentence

  • If for any reason (including but not limited to Force Majeure) to be approved by Licensor, Licensor or Licensee reasonably believes there is a risk that the volume of the Licensed Products in the Territory will be inadequate to meet the demand in the Territory, then Licensee or its Affiliates shall purchase and import the Imported Product subject to the capability of Licensor to meet the demand at the price determined in accordance with the principles of transfer price as set out in Annex C.

  • Licensor shall be responsible for global vigilance risk management with respect to the Imported Product, and shall promptly notify Licensee in writing of any change in Imported Product safety risk characteristics, or Imported Product recall due to safety reasons, etc., and perform its due diligence as the holder of Regulatory Approval of the Imported Products.

  • The Warranty shall only apply provided the Imported Product was properly installed and was used by a duly trained medical professional under normal circumstances and in accordance with Licensor’s instructions.

  • If a Recall is initiated because of a reason solely attributable to Supplier, Supplier will be responsible for all expenses incurred by Purchaser as a result of such Recall, will refund each Purchaser for the full Price of the recalled Imported Product of such Purchaser, and compensate all damages and losses suffered by Purchasers as a result of such Recall.

  • For Imported Products a 12 months’ warranty from the earlier of the date when the Imported Product is first used in the field by Licensee on a portable basis or properly installed at the end user (or delivered if no installation is required) with successful installation or delivery report applies (“Warranty Period”).

  • Notwithstanding anything to the contrary in Section 2.08(b), if a change in the Specifications of an Imported Product made pursuant to Section 2.05 warrants a corresponding increase or decrease in the applicable Imported Product Price, Supplier will notify Purchasers, and provide Purchasers with all documentation and information necessary to support the increase or decrease in Price, and the Parties will adjust the Price as warranted consistent with Section 2.08(a).

  • Supplier will consult with Purchasers regarding the content of any public statements regarding the Imported Product recall.

  • Under Importation Paradigm and before the obtaining of Market Authorization in the Territory, Licensor shall make sure that the Supply Price (including the Imported Product, prototypes, and components, in each case limited to that which is required to be used for Regulatory Approval and Market Authorization purposes) shall be based on the actual production cost prices, with no commercial mark-up.

  • Supplier will accept all Orders for Imported Product that comply with the applicable Lead Time(s) and Quantity Commitment(s); provided that the quantities ordered (on a Product-by-Product basis) do not exceed the applicable Quantity Commitment.

  • Licensor shall promptly provide Information to Licensee regarding the defect of the Imported Product that is the cause of such recall and assist Licensee to carry out the recall at the expense of the Licensor.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Finished Product means the final packaged product intended for human consumption;
