  • If a Participant or Developer desires to disclose through publication, technical paper or otherwise any IDIP to which it owns the rights, such Participant or Developer nonetheless agrees to provide at least thirty (30) days written notice of such intended disclosure to the Institute and any other affected Participant.

  • Each such content submission to the Institute will be governed by a license agreement to be entered into by the relevant parties prior to submission, and shall not be subject to the IDIP licensing provisions in this IPP.

  • The parties acknowledge that the Institute has made the IDIP available in reliance upon the limitations of liability and the disclaimers of warranties and damages set forth herein, and in the event Participant voluntarily makes Participant Background IP available, it does so on the same reliance, and that the same form an essential basis of the bargain between the parties.

  • Upon written notice to the Institute, a Developer or Participant may transfer to a third party any intellectual property right it owns in and to the IDIP, provided that such transfer shall be expressly subject to the terms and conditions of this IPP including but not limited to the on-going obligation to license by the acquirer and any of its subsequent transferees.
