Gray Party definition

Gray Party means the Seller, the Master Servicer, the Holding Company, each Intermediate Holding Company, each Sub-Servicer, each Originator, Gray, Parent and the Performance Guarantor.

  • Any change in (A) the external accountants of any Gray Party, (B) any accounting policy of the Seller or (C) any material accounting policy of any Originator that is relevant to the transactions contemplated by this Agreement or any other Transaction Document (it being understood that any change to the manner in which any Originator accounts for the Pool Receivables shall be deemed “material” for such purpose).
