  • Neither the Company nor GFA Brands has any outstanding loans to any officer, director or shareholder of the Company or GFA Brands or any member of their respective family, other than short term travel advances made in the ordinary course of business.

  • Each item of Proprietary Rights will be owned or available for use by the Company or GFA Brands on identical terms and conditions immediately subsequent to the Effective Time.
