  • CLG shall not be required to withhold, from sums becoming payable to GEOA hereunder, any amounts for State or Federal Income Tax, or for FICA (Social Security) Taxes, during the term of this Agreement, as such responsibilities are solely the responsibility of GEOA, as a consultant to the Company.

  • GEOA has expertise in the areas of startup, workout consulting, stakeholder negotiations and contract formation, as well as business acumen, which are of interest to CLG and GEOA is willing to provide consulting services to CLG and to act as a Director and Officer of the Company as defined herein.
