Forced Sale Offer has the meaning set forth in Section 11.2(a).

  • For a period of thirty (30) days following the effective date of the Forced Sale Notice, the Non-Implementing Member provided it is not in Material Default shall have the right, but not the obligation, to elect by delivering written notice of such election (the “Purchase Notice”) to the Implementing Member to purchase the entire Offered Property for the Forced Sale Offer Price (as adjusted under Section 7.03(b) below).
