Financial Statements Delivery Date definition

Financial Statements Delivery Date means (a) with respect to the delivery of quarterly financial statements and information pursuant to Section 7.1 hereof, the date which is ninety (90) days after the last day of each quarter in each fiscal year of the Borrower, and (b) with respect to the delivery of annual financial statements and information pursuant to Section 7.2 hereof, the date which is one hundred twenty (120) days after the end of each fiscal year of the Borrower; PROVIDED, HOWEVER, in the event the SEC shall reduce the time period during which the Borrower may file its quarterly or annual financial statements with the SEC, the ninety (90) day and one hundred twenty (120) day time periods set forth in this definition shall be reduced by a like number of days.

Financial Statements Delivery Date means (a) with respect to the delivery of quarterly financial statements and information pursuant to Section 7.1 hereof for each fiscal quarter of the Borrower ended during the term of this Agreement, the date which is sixty (60) days after the last day of each such fiscal quarter, and (b) with respect to the delivery of annual financial statements and information pursuant to Section 7.2 hereof for each fiscal year of the Borrower ended during the term of this Agreement, the date which is one hundred ten (110) days after the end of each such fiscal year.

Financial Statements Delivery Date shall have the meaning set forth in Section 3.1(g) of this Agreement.

• On the Initial Audited Financial Statements Delivery Date, Remainco shall deliver to RMT Partner a reasonably detailed reconciliation of the Initial Audited Financial Statements to the Spinco Business Unaudited Financial Data.

• On the Closing Financial Statements Delivery Date, all intercompany payables and receivables, between the Target and its Subsidiaries on the one hand, and the Sellers and the Sellers' Subsidiaries on the other hand, shall be settled and liquidated in the manner set forth in Sections 2.3(b) and 2.3(c) of this Agreement.

Financial Statements Delivery Date means, with respect to the Target and its Subsidiaries, the date on which the Closing Financial Statements are delivered pursuant to Section 3.1(a); PROVIDED, HOWEVER, that if any change to the Closing Financial Statements is agreed to by Buyer and the Sellers in accordance with Section 3.1(a), then the date on which Buyer and the Sellers agree in writing to such change shall be the Financial Statement Delivery Date; and PROVIDED, FURTHER, that if any dispute with respect to the Closing Financial Statements is resolved in accordance with Section 3.1(a), then the date on which the Accounting Firm delivers its decision with respect to such dispute shall be the "FINANCIAL STATEMENT DELIVERY DATE".

Financial Statements Delivery Date means the date on which the Holders deliver or cause to be delivered, in substantially final form, the financial statements listed or described in Schedule A hereto.
