Final Working Capital Amount has the meaning set forth in Section 2.2(c).

• Each element of the Final Working Capital Amount shall be determined in accordance with GAAP and on the same basis and applying the same accounting principles, policies and practices that were used in calculating the September 30, 2004 Company Financial Statements.

• Any such process with respect to the agreement of the Final Working Capital Amount and the amount of the Working Capital Adjustment by the Company and Parent set forth in clauses (i) through (v) of this Section 4.6(b) may hereinafter be referred to as the “Working Capital Agreement Process”.

Final Working Capital Amount has the meaning set forth in Section 6.22(e).

Final Working Capital Amount means Combined Working Capital as reflected on the Final Working Capital Statement.
