Excess Collateral Holder definition

Excess Collateral Holder means the entity so designated in writing by the Transferor to the Trustee.

  • In the event the Trustee or the Paying Agent withholds any amount from payments made to any Excess Collateral Holders pursuant to federal withholding requirements, the Trustee or the Paying Agent shall indicate to such Excess Collateral Holders the amount withheld and all such amounts shall be deemed to have been paid to such Excess Collateral Holder and the Excess Collateral Holders shall have no claim therefor.

  • On and after the Transfer Date immediately preceding the Distribution Date on which the Class B Invested Amount will be paid in full, and on each Distribution Date thereafter until the Excess Collateral Amount is paid in full, the Paying Agent shall pay in accordance with Section 5.1 of the Agreement to the Excess Collateral Holder from the Distribution Account such amounts deposited with respect to Excess Collateral Monthly Principal into the Distribution Account on such Transfer Date.

  • Excess Collateral has the meaning set forth in Section 5.7.

  • Excess Collateral Amount means, at any time, the excess of (a) the sum of (i) the Collateral Amount, and (ii) the Principal Accumulation Account Balance, over (b) the Note Principal Balance.
