Environmental Order means any prosecution, order, decision, notice, direction, report, recommendation or request issued, rendered or made by any Governmental Authority in connection with Environmental Laws or Environmental Orders;

Environmental Order means any final and binding (or, if not final and binding, any executory (notwithstanding the institution of an appeal or the filing of an application for review)) order, citation, summons, suit, action or judgment issued or given by any competent court or any Governmental Entity pursuant to any violation of Environmental Laws, caused by the activities, acts or omissions of the Borrower or any of its Subsidiaries.

• There are no penalties or similar payments in respect of violations by Bralorne of any Environmental Laws, Environmental Regulation or Environmental Order outstanding and Bralorne has paid in full all such penalties or similar payments to the applicable Authority.

• There are no claims, actions, prosecutions, charges, investigations, hearings or other proceedings or to the Vendor's knowledge contemplated investigations or proceedings of any kind in any court or tribunal or before any Governmental Body, and no notice has been received by the Company or to the Vendor's knowledge by the Subsidiary of any such proceeding or contemplated proceeding, which alleges the violation of or non-compliance with any Environmental Law or Environmental Order.

• In the event that the Bankruptcy Court does not approve the Environmental Order on Consent in a form substantially similar to that contained in Exhibit D hereto, Seller shall use commercially reasonable efforts to obtain Bankruptcy Court approval of a revised Environmental Order on Consent (including the Schedule of Compliance) that is reasonably acceptable to Purchaser.
