Completion shall have occurred and the Administrative Agent shall have received (i) the Borrower’s Completion Certificate, duly executed by an Authorized Officer of the Borrower and (ii) the Independent Engineer’s Completion Certificate.
Such Engineer’s Completion Certificate shall be delivered to both Developer and City no more than five (5) calendar days after Engineer confirms all of the foregoing requirements.
The City shall have no obligation to determine the Public Infrastructure Improvements complete until (a) the Public Infrastructure Improvements have been satisfactorily completed in accordance with the Construction Documents, as evidenced by the Engineer’s Completion Certificate and properly dedicated as public rights-of-way and easements to the City, Del-Co Water Co., Inc.
