Effectiveness and Binding Effect. Each amendment, supplement or waiver pursuant to this Article 8 will become effective in accordance with its terms and, when it becomes effective with respect to any Note (or any portion thereof), will thereafter bind every Holder of such Note (or such portion).

Effectiveness and Binding Effect. This Agreement shall be binding upon and inure to the benefit of the Company, the Operating Partnership and all Unitholders who sign and deliver counterparts of this Agreement.   • Authorization and Binding Effect The execution and delivery of this Agreement, the performance by Purchaser of its obligations hereunder and the consummation of the transactions contemplated hereby in accordance with the terms hereof have been duly authorized by all requisite action on the part of Purchaser.
