Dynegy Merger Subsidiary means Falcon Merger Sub Co., a Delaware corporation and (as of the Closing Date) a wholly owned, direct Subsidiary of the Parent.

Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.
