Ditech or the "Company") is pleased to continue your employment as President and Chief Executive Officer ("CEO") of Ditech on the following terms (the "Agreement"). As President and CEO of Ditech, you will continue to work in Sunnyvale, California and perform the duties customarily associated with this position, and any duties as may be assigned to you by the Company's Board of Directors (the "Board"). Of course, the Company may change your position, duties and work location from time to time, as it deems necessary.
