Distributor Website definition

Distributor Website means a website wholly owned, controlled and operated by a Distributor and branded with the name and/or tradename of such Distributor; provided that: (a) such website utilizes a password protection system that requires all users to provide an authorized username and password prior to viewing any episodes; (b) the episodes are made available only to authorized and registered users of such website who are subscribers to such Distributor’s delivery system; (c) such Distributor must agree in writing to abide by all terms and conditions of this Letter Agreement, including without limitation the Content Protection Requirements and Obligations set forth in Exhibit B; (d) such authorization shall not release Licensee from its obligations to Licensor under this Letter Agreement; and (e) for the avoidance of doubt, Licensee shall indemnify Licensor (in accordance with Section 13 of this Letter Agreement) for damages or other losses caused by any breach of this Letter Agreement by such Distributor, including direct damages suffered by Licensor.
