Discounted Valuation definition

Discounted Valuation means the product of (x) the Price Per Unit to Determine Discounted Valuation multiplied by (y) the Fully Diluted Capitalization immediately prior to the applicable Conversion Event. “Series 1 Discounted Valuation” means the product of (x) the Price Per Unit to Determine Series 1 Discounted Valuation multiplied by (y) the Fully Diluted Capitalization immediately prior to the applicable Conversion Event.

  • The Price per Unit to Determine Discounted Valuation is 75% x $2 or $1.50 which is lower than 60% x 50,000,000/5,000,000 which would be $6.
