Development Hardware definition

Development Hardware means Components and boards listed on the price list in Exhibit A, or on our then-current Development Hardware price list: (i) that are purchased by you directly from us for use solely in developing Designated Equipment and Your Software, and (ii) that will not be resold, either on a stand-alone basis or in or with other equipment.
Development Hardware means sample Components and/or hardware that is provided to LICENSEE by QTIL, QTIL’s Affiliate or a QTIL Distributor.
Development Hardware means Components and boards that: (1) are purchased by Licensee directly from Licensor (or Licensor’s affiliated company) for use solely in developing Approved Equipment and Licensee Modifications, and (ii) will not be resold, either on a stand-alone basis or in or with other equipment.

Examples of Development Hardware in a sentence

  • If you give us written notice that an item of Development Hardware is non-operative within the Hardware Warranty Period, we will, at our sole option, replace the non-operative item or refund the purchase price of that item (or if that item was provided on a bundled basis without separate charge, then the price of such item as set forth in Exhibit A).

  • We warrant solely to you that for 30 days after delivery to you (“Hardware Warranty Period”), each item of Development Hardware will be operative.

  • In addition, you may elect to purchase Development Hardware separately.

  • During the Term, you may order a reasonable quantity of Development Hardware, at the prices set forth on the then-current Development Hardware Price List.

  • Atheros reserves the right to limit the quantity of Development Hardware that may be purchased.

  • Subject to our consent, you may purchase support services for additional location(s) (“Additional Support Services Location(s)”) at which Our Software, Reference Designs and Development Hardware will be used by executing an amendment to this License and paying our then-current fees for such Additional Support Services Location(s) for each year for which you request such support.

  • LICENSEE will not operate the RF transmitter (including over the air or “OTA”) associated with any Development Hardware in the European Union unless LICENSEE secures from the appropriate local governmental body the necessary authority to operate the transmitter.

  • LICENSEE may order (a) Components and/or (b) Development Hardware from a QTIL Distributor.

  • LICENSEE will not operate the RF transmitter (including OTA) associated with any Development Hardware in the U.S. unless LICENSEE secures from the FCC the appropriate experimental authority or special temporary authorization pursuant to Part 5 of the FCC’s rules.

  • LICENSEE agrees that in no event shall any Development Hardware be sold, leased or placed on the market in any manner.

  • Development Tool Kit means a DS Offering specifically designed for application or content development. A Development Tool Kit is either identified (i) with “CAA” or “ENOVIA Studio” in the DS Offering name, or (ii) in the Transaction Document and/or the Product Portfolio. Extended Enterprise User means an employee of Customer’s affiliate(s), supplier(s) and/or customer(s) authorized to use Customer’s DS Offering for the sole and exclusive purpose of enabling the Extended Enterprise User(s) to conduct business with Customer. The use of the DS Offering by any such Extended Enterprise User(s) 1) shall be solely limited to use (a) as configured and deployed by Customer and (b) in connection with the Extended Enterprise User’s performance of services for and on behalf of Customer, and 2) shall exclude any use by Extended Enterprise User (a) for its own account or a third party’s account, or (b) for the purpose of modifying, otherwise using, maintaining or hosting the DS Offering. Extended Enterprise Users are authorized if so specified in the Product Portfolio.

  • Manufacturing Services means the manufacturing, quality control, quality assurance, stability testing, packaging, and related services, set forth in this Agreement, required to manufacture Product or Products from Active Materials and Components;

  • Software Product means any COTS which you propose to provide pursuant to the contract.
