All efforts by Purchaser to combine the Panther Drive System with other products or otherwise integrate Panther Drive System into the Prototype are referred to herein as "Development Efforts." Without limiting the generality of the foregoing, Development Efforts shall include those development projects undertaken by Enova in direct response to a Development Effort.
The JDC will determine appropriate written standards for measuring Required Development Efforts and accounting procedures to confirm and document each Party's performance of its Required Development Effort for any Product before the Parties commence Development thereof.

As the Development Effort proceeds, Supplier shall conduct the prototype testing as described in Exhibit A.
If a customized Product fails to satisfactorily complete the Acceptance Tests, Supplier shall promptly and diligently correct any defects and complete any uncompleted portion of the Development Effort so that the customized Product satisfactorily operates and performs in accordance with specifications.
For any Development Effort commenced by the parties, both parties will endeavor to establish their respective rights, including rights to intellectual property prior to undertaking Development Efforts.
If Cambridge and SJM do not enter into a letter of intent with respect to the IDS Development Effort within the 30-day period, SJM may commence the IDS Development Effort either alone or in collaboration with a third party.
Targets will be excluded if prior to Genentech's selection, Magainin has removed such Target from the Gene Database because Magainin either licensed rights to the Target (that Genentech wants to select) to a Third Party, or Magainin has already initiated and is diligently pursuing, at its own expense, an active research program regarding such Target ("Internal Development Effort").
