Designated TLO definition

Designated TLO means Tohoku Techno Arch Co., Ltd. having its registered address at ▇▇. ▇▇▇ ▇▇▇▇, ▇▇▇, ▇▇▇▇-▇▇, ▇▇▇▇▇▇-▇▇▇, ▇▇▇▇▇▇ ▇▇▇-▇▇▇▇ ▇▇▇▇▇ or any other Technology Licensing Organization (TLO) to be designated by TU.

Designated TLO means Tohoku Technoarch Co., Ltd. having its headquarters at ▇▇. ▇▇▇ ▇▇▇▇, ▇▇▇, ▇▇▇▇-▇▇, ▇▇▇▇▇▇-▇▇▇, ▇▇▇▇▇▇ ▇▇▇-▇▇▇▇ ▇▇▇▇▇ or any other Technology Licensing Organization to be designated by TU. Article 2 (Implementation of Commissioned Research, Research Period, and Completion and Discontinuance of Commissioned Research) 2.1 The parties hereto shall carry out the Commissioned Research in accordance with the Research Program. 2.2 The period of the Commissioned Research shall be the "research period" as specified in Section 4 of the Research Program. 2.3 If there arise any contingency including acts of God or any other causes beyond the reasonable control of the parties, or any delay in the commissioned Research caused by unavoidable circumstances, the Commissioned Research may be discontinued or the research period may be extended or shortened by discussion between the parties. In such case, neither party shall be liable for any result of the discontinuation of the Commissioned Research or the extension or shortening of the research period. 2.4 The Commissioned Research shall be deemed to have been completed when the research period expires or when the parties agree that the Commissioned Research has been achieved.

Examples of Designated TLO in a sentence

  • In case of Articles 18.1 and 18.2 above, TU shall take all necessary measures to ensure that the Designated TLO abides by the confidentiality obligation or any other obligation set forth in this Agreement.

  • To the extent it is deemed necessary and appropriate, TU may, at any time without giving a prior notice to COMPANY, disclose to the Designated TLO any information for which a confidentiality obligation is required under this Agreement.

  • TU may, by giving a prior written notice to COMPANY, assign its Independent Intellectual Property or its share of ownership in the Joint Intellectual Property to the Designated TLO, or grant a license of the same to the Designated TLO.

  • TU may, by giving a prior written notice to COMPANY, assign its Intellectual Property to the Designated TLO, or grant a license of the same to the Designated TLO.

  • In execution of the foregoing, UNIVERSITY shall take necessary measures to ensure that the Designated TLO performs the confidentiality obligation or any other obligations set forth in this Agreement.

  • UNIVERSITY may, at any time and without consent of COMPANY, request the Designated TLO to perform for UNIVERSITY any and all necessary procedures concerning the application and maintenance of Intellectual Property Rights set forth in Article 5.

  • TU may, at any time and by giving a prior written notice to COMPANY, assign to the Designated TLO the Intellectual Property of TU or its own share, or grant to the Designated TLO a license for the Intellectual Property of TU or based on its own share.

  • In this case, the University shall cause the Designated TLO to enforce and discharge the rights, duties and obligations otherwise held or owed by the University under the Agreement as a party to the Agreement.

  • TU may, by giving a prior written notice to INSTITUTION, assign its Independent Intellectual Property or its share of ownership in the Joint Intellectual Property to the Designated TLO, or grant a license of the same to the Designated TLO.
