The Deflecta Acquisition -------------------- Documents have been duly executed and delivered and are in full force and effect.
The representations and warranties contained in the Deflecta Acquisition Documents were true and correct in all material respects at the date thereof and will be true and correct in all material respects on the Closing Date, as if made on such date, and Agent and Lenders shall be entitled to rely upon such representations and warranties with the same force and effect as if they were incorporated in this Agreement and made to Agent and each Lender directly as of the date hereof and the Closing Date.
