A personal, non-exclusive, non-transferable right and license is being granted to the Facility to use solely for the Facility’s own business usage in any application software programs included in the Data Care Products (the “Datacare Software”) which are delivered to the Facility as part of the Datacare Services.
The Facility acknowledges and agrees that for the term of the Agreement, Datacare is acting as the Facility’s authorized agent for the limited purpose of accepting payments on the Facility’s behalf from the Facility’s customers for products and/or services provided by the Facility, and the Facility appoints Datacare as its agent, and expressly authorizes and directs Datacare to receive such payments on the Facility’s behalf.
Purchaser shall accept such Resident Trust Funds actually transferred to Purchaser or its designee(s) in trust for the residents and following the Effective Time, and, in coordination with National Datacare pursuant to the applicable services agreements for the Resident Trust Fund Management Service, will be responsible for compliance with all applicable statutory and regulatory requirements.
The Facility’s consent and agreement to this Amendment, or the Facility’s continued use of the services provided by Datacare to the Facility under the Agreement shall each individually constitute the Facility’s acceptance to the amendments set forth in this Amendment as of the Effective Date.
The Facility shall not have any interest in the Datacare Software, except for the license granted under this Agreement.
Entries received by Datacare shall be considered payment to the Facility, satisfying and extinguishing the payment obligation of the sender to the Facility (in the amount received by Datacare) as if the sender had paid the Facility directly.
The Facility shall permit Datacare and the Financial Institution to audit its compliance with the Agreement and all applicable National Automated Clearing House Association (“Nacha”) Rules, regulations, and policies.
