Cornell License definition

Cornell License. AGREEMENT shall mean the "Exclusive License Agreement CRF D-416 and D-520, D-913, D-169, D-1239, D-1258, D-1403, D-1426" by and between Cornell Research Foundation Inc. ("Cornell") and FRS having an Effective Date as of the date of this Agreement.
Cornell License means that certain Exclusive License Agreement dated as of April 20, 2006, among Stealth Cayman (f/k/a Stealth Peptides International Inc.) and Cornell Research Foundation, Inc. and Institut de Recherches Cliniques de Montreal, as amended as of October 7, 2010.
Cornell License means the license granted pursuant to the Cornell Agreement, as defined in Section 6.01(c).

Examples of Cornell License in a sentence

  • Notwithstanding any other provision herein to the contrary, there shall be no reduction to the Milestone Payments under this Section 4.5 (i) on account of the $1,500,000 payable to [***] under Section 2.2, or (ii) payments made to Cornell University under the Cornell License Agreements.

  • To the extent any fees are due and owing under the Cornell License Agreement for a Cornell Licensed Patent, TTI will be responsible to pay all costs and expenses.

  • Should BAXTER and/or NESTLE pay the expense or fee, TTI will then transfer to BAXTER and/or NESTLE, to the extent permitted by the Cornell License Agreement, the rights to the applicable Cornell Licensed Patent upon receipt of a joint written direction of BAXTER and Nestle delivered within 30 days after notice from TTI of such abandonment.

  • To the extent any fees are due and owing under the Cornell License Agreement for a Cornell Licensed Patent, FRS will be responsible to pay all costs and expenses.

  • This Agreement is binding on any successors of BAXTER or assigns of any TTI Patents, TTI Patent Applications, the Licensed Know-How, or any rights under the Cornell License Agreement.

  • This Agreement is binding on any successors of FRS or assigns of any FRS Patents, FRS Patent Applications, Licensed Know-How, or any rights under the Cornell License Agreement.

  • To the extent any royalty is due and owing under the Cornell License Agreement in view of CLINTEC's sale of a Clinical Nutrition Product under this Agreement, CLINTEC agrees to pay the applicable royalty to Cornell.

  • Commercial License means any license issued to an individual or entity that is not a patient, caregiver, or transporter agent.
