This Agreement shall be effective and enforceable beginning on the Effective Date and shall terminate on the earlier of (i) January 31, 2013 or (ii) the date that Clean Energy Works announces in writing, including by email to Contractor or as posted on its website, that a new Contractor Pool for the Service Area has been established, subject to earlier termination pursuant to the terms of this Agreement.
Nothing in this Agreement or participation in the Contractor Pool shall guaranty or otherwise entitle Contractor to Program Work.
Contractor acknowledges and agrees that any default under this Section may result in disqualification from any future Allocation, temporary disqualification from the Contractor Pool, or termination of this Agreement and permanent removal from the Contractor Pool, as determined by Clean Energy Works in its sole discretion.
Contractor may discontinue participating in the Contractor Pool by notifying Clean Energy Works in writing of that decision.
Clean Energy Works reserves the right, in its sole discretion, to immediately disqualify Contractor from the Contractor Pool and terminate this Agreement if it learns of any such misleading data manipulation by Contractor.
This Agreement may be terminated and Contractor may be removed from the Contractor Pool and deemed ineligible to participate in the CEWO Program for any material non-‐compliance, as determined by Clean Energy Works in its sole discretion.
Failure to complete a test-‐in for a Program Project that can reasonably, in Clean Energy Work’s discretion, achieve the minimum energy savings threshold will be a default of this Agreement and may result in remedial action by Clean Energy Works, including without limitation, additional monitoring, limitation of Allocations, or removal from the Contractor Pool.
Contractor may not assign its rights under this Agreement or in the Contractor Pool.
Notwithstanding anything to the contrary set forth in this Section, in order to support diversity among the Contractor Pool and alleviate any appearance of unfair trade practices, each Full Contractor eligible for Allocation shall have a separate and distinct ownership structure from all other Full Contractors.
Continued eligibility in the Contractor Pool may require compliance with additional requirements and specifications, policies and/or revised terms and conditions (collectively “Additional Requirements”), in each case as determined by Clean Energy Works, in its sole discretion.
